LLC Manager Resolution Template
LLC managers may occasionally need to make a resolution—a formal record of a vote that izes a specific business action. Typically, resolutions are made by the members of an LLC. However, there are some cases where members have granted ity to managers to make resolutions on behalf of the company. We provide a template for LLC manager resolutions you can use for free.
Why do I need LLC manager resolutions?
When members of an LLC are not involved in the day-to-day operations of the business, they give full power to managers to make business decisions. Managers don’t need resolutions for their everyday decisions. LLCs don’t have the same strict formal requirements as corporations, so resolutions are more of a good business practice than they are a legal requirement.
There are some situations, however, where managers might want to adopt resolutions. For instance, when there are multiple managers, it may be beneficial to document the approval of major business decisions. If there’s fallout or disagreement later on, you’ll have a record noting the details of exactly what was approved and who signed off on it—so managers can’t play the blame game.
What should LLC manager resolutions include?
Manager resolutions aren’t much different than member resolutions. The resolution itself should be a clear, detailed description of the approved action. Our form takes care of the rest. Our LLC manager resolution template includes spaces to enter the name of the LLC, manager names and signatures, dates signed, and a statement confirming that the resolution described has been approved, ratified and adopted.
